These Terms and Conditions (hereinafter, “the Terms”) govern the commercial relationship between SOLLERTIA – INGENIA TÉCNICA, S.A. (hereinafter, “SOLLERTIA”), a company duly incorporated in the Republic of Panama under tax ID 155754354-2-2024, and the individual or legal entity (hereinafter, “the Client”) that requests services through the Client Portal available at www.sollertia-intec.com.
By submitting a request (REQ) or accepting a commercial proposal, the Client declares having read, understood and accepted these Terms.
1. Nature of the request (REQ)
The Client Portal form generates a preliminary service request (REQ) with a unique reference code (REQ-YYYY-NNNN-XXXX).
The REQ does not constitute:
- A binding contract.
- A formal commercial proposal.
- A service delivery commitment.
The REQ only represents the Client’s interest in receiving information or a proposal regarding the offered services. SOLLERTIA will validate the declared information and, if applicable, will issue a formal commercial proposal within no more than 24 business hours.
2. Services offered
SOLLERTIA provides professional electrical engineering services, including:
- Professional electrical inspections.
- Specialized electrical studies (short-circuit, protection coordination, power quality, grounding, arc flash).
- Electrical upgrades and construction in low, medium and high voltage.
- Trolley Assist systems for mining.
- Renewable energy and energy efficiency.
- Scheduled electrical maintenance.
The specific scope of each service is defined in the formal commercial proposal issued for each REQ.
3. Commercial proposal
After validating the REQ, SOLLERTIA may issue a commercial proposal detailing:
- Specific scope of service.
- Price, payment conditions and invoicing method.
- Execution timeline and deliverables.
- Exclusions and assumptions.
- Validity of the proposal.
The commercial proposal is valid for thirty (30) calendar days from issuance, unless otherwise stated. After this period, SOLLERTIA may adjust prices and conditions.
4. Acceptance of the proposal
The Client may accept the proposal by:
- Physical or electronic signature of the document.
- Express approval by email from a verifiable institutional address.
- Payment of the advance, which constitutes tacit acceptance of the proposal.
Acceptance of the proposal perfects the contract between the parties and supersedes these general Terms in anything that contradicts them.
5. Payment conditions
Unless otherwise agreed in the formal proposal:
- 100% advance payment to confirm the scheduling of technical visits.
- 50% / 50% scheme: 50% as advance upon acceptance of the proposal, 50% upon delivery of the report or final product.
- ITBMS: an additional 7% applies on the service amount, in accordance with Panamanian legislation.
- Accepted methods: bank transfer, ACH, Yappy, and others indicated in the proposal.
Invoicing is issued electronically in accordance with the provisions of the Directorate General of Revenue of Panama, through the authorized PAC.
6. Confidentiality
SOLLERTIA keeps in strict reserve the technical and commercial information received from the Client. The information is used exclusively to provide the contracted service, unless legally or judicially required to disclose it. SOLLERTIA may refer to the Client as a success case only with prior written consent.
7. Intellectual property
The reports, drawings, studies and other deliverables produced by SOLLERTIA in connection with the service are the intellectual property of SOLLERTIA until full payment of the service. Once paid, the Client receives a perpetual and non-exclusive license for internal use of the deliverable. Reproduction, public distribution or commercialization without express authorization from SOLLERTIA is prohibited.
8. Liability and warranties
- Technical reports and proposals are prepared based on non-invasive visual inspection and accessible measurements. SOLLERTIA does not assume responsibility for hidden risks not detectable through this type of inspection.
- Correction of findings constitutes an independent commercial phase, which the Client may contract with SOLLERTIA or with a third party.
- Inspections have a technical warranty of thirty (30) calendar days from delivery of the report, exclusively on manifest errors or omissions attributable to SOLLERTIA.
- Correction and construction works have the warranties established in the corresponding formal proposal, not less than ninety (90) days.
- SOLLERTIA’s liability shall in no case exceed the value of the service provided to the Client.
9. Cancellations and refunds
- The Client may cancel the request before the proposal is issued without penalty.
- Once the proposal is accepted and the advance paid, cancellation will imply retention of the advance if SOLLERTIA has already begun mobilization, planning or material procurement activities.
- In case of force majeure or fortuitous event that prevents service delivery, SOLLERTIA will refund the proportional unexecuted part.
10. Urgent service
When the Client selects the “urgent service” option (response under 24 hours), a surcharge will apply as indicated in the corresponding proposal. The surcharge reflects the required operational prioritization.
11. Communications
Formal communications between the parties will be made by email to the addresses registered in the REQ and the proposal. SOLLERTIA may send notifications via WhatsApp to the number registered by the Client as preferred contact channel.
12. Personal data
The processing of the Client’s personal data is governed by the Privacy Policy published on SOLLERTIA’s website, in compliance with Law 81 of 2019 of the Republic of Panama.
13. Modifications
SOLLERTIA may update these Terms. The version in force at the time of submission of each REQ will be the one applicable to such request. Substantive changes will be notified on the website.
14. Applicable law and jurisdiction
These Terms are governed by the laws of the Republic of Panama. Any controversy arising from their interpretation or execution shall be submitted to the ordinary courts of the city of Panama, with the parties waiving any other jurisdiction that may correspond to them.
15. Severability
The nullity or invalidity of any clause of these Terms shall not affect the validity of the others, which shall remain fully applicable.
